Attorney Profiles

Maria Magliano is Managing Counsel at Focus Law Partners.  Maria's practice involves counseling technology clients on critical aspects of their business, including the acquisition, development, distribution and monetization of intellectual property assets.  Maria regularly assists clients with structuring and negotiating business transactions, conducting risk assessment and management, and developing robust and scalable processes to provide effective and timely support internally.   Her clients consistently rate her as an indispensable member of their team.  Her specific areas of expertise include in-house style negotiation of complex software licensing arrangements including sales, product development, channel licensing, SaaS and OEM distribution, outsourcing, inbound licensing, and professional services/consulting.  She has operational experience, and can develop templates and implement legal processes.

Maria's most recent in-house experience was at EMC Corporation, where she supported the sales, business development, channel development, product management, professional services, customer support and vendor relations teams.  Maria has negotiated multi-tier distribution and marketing agreements, complex OEM and SaaS agreements, technology development agreements with ISV partners, inbound OEM and reseller agreements, source code license and acquisition agreements, outsourced professional services agreements and payment or fulfillment agreements. Her other experience included participating in cross-functional initiatives to harmonize acquired-company business and processes, and conducting training sessions with law department colleagues, partner operations and client teams on partner licensing and deal structures.  She also developed and delivered Spanish language training materials for Latin American law department colleagues.

Prior to EMC, Maria was Senior Licensing Attorney for Commerce One, Inc., where she negotiated software licenses and technology service agreements with customers, vendors, and distributors.  Maria developed template agreements such as product license agreements, OEM and distribution agreements, online auction agreements, hosting agreements, reseller and referral payment agreements, partner alliance agreements and confidentiality agreements.  Her operations work included developing corporate policies and procedures for in-bound licensing and source code escrow, and conducting export review and classification of software products based on cryptography regulations. 

Maria is fluent in Spanish and regularly leverages her language skills to support Latin American business teams.   Maria holds a Masters In Law (LLM) degree in Intellectual Property Law from Golden Gate University, and received her Juris Doctorate degree from the Northeastern University School of Law. Maria is licensed to practice law in the State of California.

Tim Naprawa  is Senior Counsel at Focus Law Partners.  Tim has more than ten years of in-house experience advising Silicon Valley companies on a broad range of intellectual property, licensing and business transactions.    Prior to joining the firm, Tim was Associate General Counsel at Interwoven, Inc., before and after the acquisition by Autonomy.  His responsibilities included domestic and international legal support of the company’s direct and channel sales, OEM and in-bound licensing, open source policy, as well as marketing. His work also included dispute management and resolution, and integrating several acquired SaaS companies into Interwoven.   

Prior to Interwoven, Tim was Managing Corporate Counsel of the Software Group at EMC, where he supervised a legal team responsible for negotiating and drafting strategic software licenses and SaaS, reseller, consulting services, implementation partner and alliance agreements in the Americas, Asia and Australia.  He also managed legal integration of acquired companies and provided legal support for the Licensing Compliance group.  To improve efficiency with the contracting process, Tim developed a product use rights guide for EMC's software product portfolio.

Prior to EMC, Tim worked on an international assignment in Singapore, providing contracts and other legal support for Interwoven’s business operations in the Asia Pacific and Australia regions.  Tim’s early practice focused on business transactions, litigation and arbitration.  He represented commercial clients in cases involving contracts, bankruptcy, real estate, construction defect, and trade secrets.  He successfully arbitrated several cases against large commercial transportation carriers. 

Tim is licensed to practice in California, and holds a juris doctorate degree from the University of the Pacific (1997) and a bachelor’s degree from the State University of New York at Buffalo (1983). He is admitted to practice in Federal Court, California Eastern, and Central Districts and is a member of the Intellectual Property Law and Antitrust & Unfair Competition sections of the California Bar.
